Term Sheet

• Scope of Services: Service Provider agrees to provide tender filing services to assist the Client in preparing, reviewing, and filing tender documents with relevant authorities, as required. The scope of services includes but is not limited to:
  • Reviewing and understanding the tender requirements and documentation.
  • Advising the Client on necessary documentation and compliance requirements.
  • Drafting and preparing the tender documents in line with the tender requirements.
  • Reviewing and editing the tender documents for accuracy and completeness.
  • Assisting with the submission of the tender documents to the appropriate authorities.
• Fees and Payment: In consideration for the services provided by the Service Provider, the Client agrees to pay a fee as follows:
  • A cost baseline of Kes.25,000.00 for the tender filing services mentioned in Section 1. NB: This cost is based on availability and provision of all tendering requirements.
    In the event that some of the requirements are not available, the cost for each item is as follows:
    • a) Technical evaluation which includes;

    • b) Bills of quantities (cost may vary depending on the scope and number of pages)

    • c) Company documents (Certificate, CR12, KRA Pin, Tax Compliance, NCA certificates and licenses, Business Permit, AGPO, Bid Security, NHIF, NSSF, and registration of work place . The cost is dependent on the type of document and the government fee
  • Payment terms: Payment terms, 50% upon signing the agreement, and 50% upon completion of the services
• Duration of Services: The term of this Agreement shall commence on the effective date, which shall be the date of signing this Term Sheet, and will remain in effect until the completion of the Tender Filing Services or any mutually agreed-upon termination date.
• Confidentiality: Both parties agree to maintain strict confidentiality regarding any proprietary, sensitive, or confidential information obtained during the provision of services under this Agreement.
• Termination: Either party may terminate this Agreement by providing written notice to the other party in the event of:
  • Material breach of the terms and conditions of this Agreement by the other party.
  • Non-payment or persistent delay in payment of fees by the Client.
  • Any other valid reason as agreed upon by both parties.
• Governing Law and Jurisdiction: This Agreement shall be governed by and construed in accordance with the laws of Kenya.
• Amendment: Any amendments or modifications to this Agreement shall be made in writing and signed by both parties.
